Associate dentist agreement with an enforceable non-compete

EmploymentNon-competeEmployment agreement
Agreement signed; non-compete drafted to comply with La. R.S. 23:921

The situation

A dental practice was hiring its first associate and wanted a two-year non-compete. Its template agreement used a mileage radius, which Louisiana courts routinely refuse to enforce.

What we did

  • Rewrote the restrictive covenant to list the specific parishes and municipalities where the practice operates, as La. R.S. 23:921 requires.
  • Added a non-solicitation of patients and staff, and a buy-out provision for early departure.
  • Structured compensation with a production bonus and a clear path to partnership.

The result

The associate signed without negotiation on the covenant, and the practice has an agreement that can be enforced if needed.
